CITI BACKS UNION PACIFICโ€™S TRACKS

Upgrade on the Rails Title

Citi $C ( โ–ฒ 1.11% ) believes Union Pacific $UNP ( โ–ฒ 1.14% ) is back on track.

The railroad giant just picked up an upgrade from the bank, with analyst Ariel Rosa moving the stock to Buy from Neutral. Rosa also lifted his price target slightly to $251, about 16% above Mondayโ€™s close.

The analyst cited more clarity on Union Pacificโ€™s proposed merger with Norfolk Southern $NSC ( โ–ฒ 0.75% ), along with what he sees as strong operating execution. Citi now estimates the odds of merger approval at 65% to 70%, though Rosa cautioned the review will likely be โ€œcontentious.โ€

Clarity on a Complex Deal

Rosa explained that the upgrade reflects three developments: regulators have outlined the key issues the merger will face, recent share weakness has improved the risk/reward, and Union Pacificโ€™s underlying operations remain solid heading into third-quarter earnings.

Even if regulators block the deal, Rosa said Union Pacific shares still look attractive on a standalone basis. The stock trades at about 18x forward earnings, a discount to both the S&P 500โ€™s 24.7x multiple and its own long-term average.

Standalone Strength

Union Pacific has spent much of 2025 in what Rosa called โ€œdeal purgatory,โ€ as investors weighed uncertainties tied to the Norfolk Southern bid. Citiโ€™s new stance suggests the path forward may not be entirely dependent on the merger outcome.

For investors, the takeaway is that Union Pacific may offer value whether or not the deal gets done โ€” with potential sharp upside if the merger is ultimately approved.
